In a significant strategic move, Systems Limited, a prominent software corporation in Pakistan, has procured British American Tobacco SAA Services (Private) Limited from British American Tobacco International Holdings (UK) Limited.
The publicly listed software company disclosed this development in a notification to the Pakistan Stock Exchange (PSX) on Wednesday.
The notification stated that during a board meeting on July 29, 2025, Systems Limited deliberated and sanctioned the acquisition of British American Tobacco SAA Services (Private) Limited from British American Tobacco International Holdings (UK) Limited.
The core business of British American Tobacco SAA Services (Private) Limited involves establishing and delivering services pertaining to Information Technology (IT) and IT-driven shared and digital business services.
This encompasses a range of services, including customer service via Omni channel contact centers, marketing operations, HR functions, finance operations, procurement, and supply chain services across various regions. This aligns with Systems Limited’s focus on business process outsourcing (BPO).
A formal Share Purchase Agreement (SPA) was formalized on July 29, 2025, delineating the terms and acquisition price.
The notice clarified that the consummation of the acquisition is contingent upon fulfilling specific conditions and securing necessary regulatory clearances.
Concurrently, Techvista Systems (UAE), an affiliated entity of Systems Limited, has entered into a multi-year Master Services Agreement with Accenture (UK) Limited to provide AI-enhanced global shared services.
These services will be rendered via British American Tobacco SAA Services (Private) Limited, with Techvista operating as a subcontractor.
